Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Business Partner", "you", or "your") and GujaratPe Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Maharashtra, India.

By registering an account, accessing the GujaratPe dashboard, calling our APIs, or otherwise using any service we offer, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.

If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you must not accept these Terms or use the services.

To use GujaratPe services you must:

• Be at least 18 years of age
• Be a duly incorporated company, registered partnership, sole proprietorship, or individual carrying on a legitimate business in India
• Hold all licences, registrations, and authorisations required under applicable law for your intended use of the platform
• Not be subject to any sanctions, debarment orders, or adverse regulatory actions that would prohibit use of payment services
• Complete our KYC and onboarding process satisfactorily

GujaratPe reserves the right to decline, suspend, or terminate access at any stage if eligibility requirements are not met or cease to be met.

GujaratPe provides a B2B technology platform that enables Business Partners to access regulated payment infrastructure covering Credit Card bill payments and BBPS (Bharat Bill Payment System) — including electricity, gas, water, DTH, broadband, landline, insurance, and other participating biller categories (the "Services").

3.1 Nature of Services

GujaratPe is a technology service provider and payment aggregator operating under applicable RBI guidelines. We are not a bank, deposit-taking institution, or financial advisor. Funds held in your GujaratPe wallet do not constitute bank deposits and are not insured by any deposit insurance scheme.

3.2 Service Availability

We target a 99.9% uptime SLA for production APIs but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated at least 4 hours in advance. Downtime caused by NPCI, BBPS/NBBL, card networks, partner banks, or force majeure events is outside our SLA.

3.3 Sandbox Environment

A free sandbox environment is provided for integration testing. Sandbox transactions are simulated and carry no financial value. You may not attempt to route live transactions through the sandbox environment.

3.4 Modifications

We may add, modify, or discontinue any feature, biller category, or service with 30 days' notice for material changes. We reserve the right to make minor modifications without notice.

4.1 Compliance

• Comply with all applicable laws including but not limited to the Payment and Settlement Systems Act 2007, Prevention of Money Laundering Act 2002, FEMA, and RBI circulars
• Conduct customer due diligence and transaction monitoring as required by your own regulatory obligations
• Maintain accurate records of end-user transactions for a minimum of 5 years
• Report suspicious transactions to the Financial Intelligence Unit (FIU-IND) as required by PMLA

4.2 Acceptable Use

You must not use the Services to:

• Process transactions that are illegal, fraudulent, or in violation of any applicable law
• Facilitate money laundering, terrorist financing, or sanctions evasion
• Conduct transactions on behalf of persons or entities on any government sanctions list
• Make credit card bill payments or BBPS payments on behalf of a customer without their authorisation
• Reverse-engineer, scrape, or attempt to extract the source code of our APIs or dashboard
• Exceed agreed API rate limits or conduct automated stress testing without prior written approval
• Share your API credentials, merchant ID, or dashboard access with unauthorised third parties

4.3 Agent Management

If you operate a sub-agent or retailer network accepting credit card or BBPS bill payments on your behalf, you are solely responsible for your agents' compliance, training, and conduct. Any violation by your agents is deemed a violation by you.

5.1 Subscription Fees

Subscription fees for Growth and Enterprise plans are billed monthly or annually in advance as per the pricing agreed at signup. Fees are non-refundable except where required by law.

5.2 Transaction Commissions

Commission rates applicable to credit card bill payments and each BBPS biller category are as published on our Pricing page or as agreed in your Enterprise contract. We reserve the right to revise standard rates with 30 days' written notice.

5.3 Settlement

• Credit Card bill payment commissions are credited to your GujaratPe wallet in real time
• BBPS commissions, across all biller categories, settle at T+0
• Wallet withdrawals to your registered bank account are processed within 1 business day

5.4 Disputed Transactions

Chargebacks, disputed transactions, and penalties levied by NPCI, BBPS/NBBL, card networks, or partner banks that are attributable to your actions or your agents' actions may be debited from your wallet. We will notify you before debiting amounts above ₹10,000.

5.5 Taxes

All fees are exclusive of applicable taxes including GST. You are responsible for your own tax obligations arising from commissions earned through the platform.

All intellectual property in the GujaratPe platform — including software, APIs, documentation, trademarks, logos, and content — belongs exclusively to GujaratPe Private Limited or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes in accordance with these Terms. This licence does not permit you to sublicense, resell, or white-label the platform without a separate written agreement.

You grant us a royalty-free licence to use your business name and logo in our partner directory and marketing materials. You may opt out of this by emailing support.gujaratpay@gmail.com.

7.1 No Warranty

The Services are provided "as is" and "as available". To the maximum extent permitted by applicable law, GujaratPe disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability

To the fullest extent permitted by law, GujaratPe's aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to GujaratPe in the 3 months immediately preceding the event giving rise to the claim; or (b) ₹10,000.

7.3 Exclusion of Consequential Damages

GujaratPe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business, even if we have been advised of the possibility of such damages. This exclusion applies to losses arising from:

• Failed or delayed transactions due to NPCI, BBPS/NBBL, card network, or bank outages
• Incorrect biller details, credit card details, or amounts submitted by you or your agents
• Fraudulent transactions conducted by your agents or end customers
• Regulatory action taken against your business
• Force majeure events including natural disasters, cyberattacks, or government orders

You agree to indemnify, defend, and hold harmless GujaratPe, its directors, officers, employees, and agents from and against any claims, liabilities, damages, penalties, fines, and costs (including reasonable legal fees) arising from or related to:

• Your breach of these Terms or any applicable law
• Your negligence or wilful misconduct, or that of your agents
• Any third-party claim arising from your use of the Services
• Regulatory penalties levied on GujaratPe as a result of your non-compliance
• Any fraudulent or unauthorised credit card or BBPS transactions processed through your account

9.1 By You

You may terminate your account at any time by submitting a written request to support.gujaratpay@gmail.com. Annual subscription fees are not refunded on early termination. Any outstanding wallet balance will be settled to your registered bank account within 7 business days after KYC-verified request.

9.2 By GujaratPe

We may suspend or terminate your account immediately and without notice if:

• You breach these Terms and fail to remedy the breach within 7 days of notice
• We suspect fraud, money laundering, or regulatory non-compliance
• We are required to do so by a regulator, court order, or law enforcement directive
• Your account has been inactive for more than 24 consecutive months

We will provide 30 days' notice for termination in all other cases.

9.3 Effect of Termination

On termination, your licence to use the Services ceases immediately. Provisions relating to intellectual property, liability, indemnity, disputes, and data retention survive termination.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

Before initiating legal proceedings, you agree to attempt resolution by escalating to our grievance team at support.gujaratpay@gmail.com. We will endeavour to resolve disputes within 30 days of a formal complaint.

Enterprise customers may elect binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Mumbai.

11.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any order forms or enterprise agreements, constitute the entire agreement between you and GujaratPe regarding the Services and supersede all prior agreements.

11.2 Severability

If any provision of these Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. All other provisions remain in full force.

11.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right. Any waiver must be in writing and signed by an authorised representative of GujaratPe.

11.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity without your consent.

All notices to GujaratPe must be sent to support.gujaratpay@gmail.com. Notices to you will be sent to the email address registered to your account.
